About SOG:

Stichting Overheidsgebouwen (SOG) is a government-owned foundation established in 2006 with the primary objective of developing, managing, and maintaining critical public infrastructure on behalf of the Government of Sint Maarten. The Foundation was originally tasked with overseeing key capital projects, including the design and management of public buildings, multi-purpose facilities, and event spaces, most notably the Jocelyn Arndell Festival Village.


Role Summary:

The Supervisory Board of SOG functions as a collective governance body, playing a vital role in guiding the strategic direction, ensuring legal compliance, and safeguarding the long-term sustainability of the Foundation in the public interest of Country Sint Maarten.

The Supervisory Board of Directors (SBoD) consists of 3 members each with different 

specific competencies:

a. Infrastructure & asset management expert

b. Financial background / business economics expert

c. Legal expert.


Key Responsibilities:

a. Infrastructure and asset management:

• Review and advise on infrastructure projects related to public buildings, event venues, and government facilities.

• Evaluate investment proposals involving maintenance, refurbishment, or repurposing of public assets.

• Assess asset condition, lifecycle risk, and cost-efficiency of infrastructure management plans.

• Monitor compliance with technical regulations, permitting, and environmental obligations.

• Contribute to long-term capital planning and advise on infrastructure-related risks and mitigation strategies.

b. Strategic financial leadership:

• Oversee financial planning, budgeting, and reporting processes submitted by the Executive Board.

• Advise on financial risk management, liquidity, and internal control frameworks.

• Monitor compliance with relevant financial obligations, statutory audit requirements, and funding agreements.

• Provide input on cost-efficiency programs, strategic investments, and financial sustainability.

• Assess performance indicators, pricing strategies, and opportunities for value-for money improvement.

• Support initiatives related to public-private partnerships, innovation, and long-term transformation.

c. Legal background:

• Advise on legal risks, statutory compliance, and evolving regulatory requirements affecting public foundations.

• Support the review of contracts, procurement procedures, leases, and governance-related filings.

• Ensure adherence to the Articles of Incorporation and the Corporate Governance Code of Sint Maarten.

• Serve as a reference point on ethical conduct, fiduciary responsibility, and conflict-of-interest matters.

• Monitor legal exposure in asset use, project implementation, and public-sector accountability.

 

Qualifications:

a. Infrastructure and asset management:

  • Bachelor’s degree or higher in civil engineering, structural engineering, facilities management, architecture, or a related field.
  • At least 10 years of senior - level experience in infrastructure delivery or public asset management, preferably in a governmental or institutional setting.

b. Strategic financial leadership:

  • BSc degree in finance, accounting, business economics or strategic management; (CPA/RA/ACCA preferred).
  • At least 10 years of senior experience in finance, commercial strategy, or audit within infrastructure, real estate, or public services.

c. Legal background:

  • LL.B. in corporate, administrative, or public law.
  • Minimum 10 years of professional experience in legal practice, with exposure to public sector institutions or regulated foundations.

d. General:

  • Prior board or committee experience in infrastructure governance is an asset.
  • Strong understanding of the socio-political and cultural context of St. Maarten.
  • Fluent in English; Proficiency in Dutch is a plus.
